Terms of Service

1. Definitions

In these Terms of Service:

• “Company” / “we” / “us” refers to OXO Technologies, the developer and operator of the OXOGUARD platform.
• “Platform” refers to the OXOGUARD guard workforce management software, mobile application, and all associated services.
• “Customer” refers to any security company, organisation, or individual that has entered into a service agreement with us to use the Platform.
• “User” refers to any person who accesses or uses the Platform, including guards, supervisors, managers, and administrators.
• “Content” refers to any data, reports, images, incident logs, or other information submitted through the Platform.

2. Acceptance of Terms

By accessing our website at oxoguard.co.ke, submitting a demo request, or using the OXOGUARD platform, you confirm that you have read, understood, and agree to these Terms of Service. If you are accepting these terms on behalf of a company or organisation, you represent that you have the authority to bind that entity.

3. Services Provided

OXOGUARD provides a cloud-based guard workforce management platform that includes, but is not limited to:

• Guard attendance and shift management
• GPS-based patrol tracking and checkpoint verification
• Real-time incident reporting and escalation
• Supervisor oversight and live operational dashboards
• Client-facing reporting and analytics
• Visitor Management System (VMS) as an optional add-on

The specific services available to you will be governed by your service agreement or subscription plan with OXO Technologies.

4. Account Responsibilities

As a Customer or User of the Platform, you agree to:

• Provide accurate, complete, and current information during registration and use
• Maintain the confidentiality of your account credentials and notify us immediately of any unauthorised access
• Ensure all Users within your organisation comply with these Terms
• Use the Platform only for lawful purposes and in accordance with applicable Kenyan law
• Not share, resell, or sublicense access to the Platform to any third party without our written consent

5. Acceptable Use

You agree not to use the OXOGUARD platform to:

• Upload or transmit any content that is unlawful, harmful, defamatory, or fraudulent
• Attempt to gain unauthorised access to any part of the Platform or its underlying infrastructure
• Interfere with or disrupt the integrity or performance of the Platform
• Collect or harvest data about other users without their consent
• Reverse engineer, decompile, or copy any aspect of the Platform
• Use the Platform in any way that violates the rights of any third party

6. Data Ownership and Privacy

All operational data you input into the OXOGUARD platform — including guard records, patrol logs, incident reports, and site configurations — remains your property. OXO Technologies acts as a data processor on your behalf and will not use your data for any purpose other than delivering the agreed services.

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms of Service.

7. Intellectual Property

The OXOGUARD platform, including its software, design, branding, and underlying technology, is the exclusive intellectual property of OXO Technologies. Nothing in these Terms grants you any ownership rights over the Platform.

You retain ownership of all Content you submit through the Platform. By submitting Content, you grant us a limited licence to process and store that Content solely for the purpose of providing our services to you.

8. Service Availability

We aim to provide the Platform with high availability and reliability. However, we do not guarantee uninterrupted or error-free service. We reserve the right to perform maintenance, updates, or modifications to the Platform at any time, with reasonable notice where possible. We will not be liable for any downtime or service interruption beyond our reasonable control.

9. Payment Terms

Fees for use of the OXOGUARD platform are agreed upon in your individual service agreement. Unless otherwise specified:

• Invoices are issued monthly or as agreed in your contract
• Payment is due within 30 days of invoice date
• Late payments may result in suspension of access to the Platform
• All fees are exclusive of applicable taxes unless stated otherwise

10. Limitation of Liability

To the fullest extent permitted by Kenyan law, OXO Technologies shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of, or inability to use, the Platform. Our total liability to you for any claim arising under these Terms shall not exceed the fees paid by you in the three months preceding the claim.

OXOGUARD is a workforce management and reporting tool. Decisions made based on Platform data remain the sole responsibility of the Customer. We are not liable for security incidents that occur at your sites.

11. Termination

Either party may terminate the service agreement with written notice as specified in your contract. We reserve the right to suspend or terminate your access to the Platform immediately if you breach these Terms of Service or engage in conduct that we determine, in our sole discretion, to be harmful to other users or to OXO Technologies.

Upon termination, you may request an export of your data within 30 days. After this period, we reserve the right to delete your data in accordance with our data retention policy.

12. Governing Law and Disputes

These Terms of Service are governed by and construed in accordance with the laws of Kenya. Any disputes arising under these Terms shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to the jurisdiction of the courts of Nairobi, Kenya.

13. Changes to These Terms

We reserve the right to update these Terms of Service at any time. We will notify active Customers of material changes by email or through the Platform. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms. The current version will always be available at oxoguard.co.ke/terms.html.
